Board of Directors

Miyka’el Foundation is governed by a Board of Directors responsible for providing strategic oversight, ensuring organizational integrity, and upholding the foundation’s mission and values. The Board operates in accordance with the foundation’s bylaws and applicable Florida nonprofit corporation law.

Board members serve without compensation and are subject to the foundation’s Conflict of Interest Policy, which

Conflict of Interest Policy

Establishes procedures for identifying, disclosing, and managing conflicts of interest among board members, officers, and key staff to ensure all decisions are made in the best interest of the foundation.

Whistleblower Policy

Provides a safe, confidential reporting pathway for board members, staff, and volunteers to raise concerns about suspected misconduct, financial irregularities, or ethical violations without fear of retaliation.

Non-Discrimination Policy

Affirms the foundation's commitment to serving all individuals equitably, without discrimination based on race, ethnicity, national origin, religion, gender, age, disability, or any other protected characteristic.

Safeguarding Policy

Miyka'el Foundation is deeply committed to the safety, dignity, and protection of every person it serves, with particular attention to children, youth, and vulnerable adults in both the United States and Hayti. This policy establishes the Foundation's zero-tolerance stance on abuse, exploitation, and harm in all forms, and outlines the standards of conduct, reporting procedures, and response protocols required of all board members, staff, volunteers, and partners. The Foundation's safeguarding framework reflects its core conviction that every person in its care deserves to feel safe, respected, and protected at every point of contact with the organization.

Gift Acceptance Policy

Governs the types of gifts the foundation accepts, including cash, in-kind donations, securities, vehicles, real estate, and planned gifts, ensuring all contributions align with the foundation's mission, capacity, and legal obligations.

Document Retention Policy

Outlines the foundation's procedures for retaining, storing, and securely disposing of organizational records in accordance with legal requirements and best practices.

Financial Accountability:

Miyka’el Foundation is committed to the responsible and transparent management of all financial resourcesentrusted to us. Our financial practices are designed to protect donor intent, ensure program effectiveness, andmaintain the long-term sustainability of the foundation.

Banking: Foundation funds are maintained in a dedicated organizational bank account separate from anypersonal accounts.
Signatory Authority: Santia Calixte, Founder & President, serves as the sole authorized signatory onfoundation accounts. The Board Secretary & Interim Treasurer holds Accountant-level access,enabling full financial visibility, monthly statement review, expense categorization, and report oversight without transactional authority. This structure ensures both executive control and independent financial oversight at the board level.
Monthly Financial Review: The Board Secretary & Interim Treasurer conducts monthly reviews of all financial statements to ensure accuracy, identify discrepancies early, and maintain ongoing financial oversight on behalf of the board.
Expenditure Oversight: Significant expenditures and financial commitments are reviewed with appropriate board oversight to ensure responsible stewardship of organizational resources.
Fund Integrity: Designated gifts are tracked and used exclusively for their intended purpose. Donor designations are honored in full.
Annual Reporting: The foundation is committed to filing all required federal and state financial disclosures including IRS Form 990 and Florida charitable solicitation renewals in a timely manner.
